Terms and Conditions
1. Introduction
These Terms & Conditions (“Agreement”) govern the services provided by Utyl Labs (“we,” “us,” “our”) to any client (“Client,” “you,” “your”) who engages our ecommerce web development and related digital services. By accepting a proposal, signing a contract, or using our services, you agree to be bound by this Agreement.
2. Services
We provide ecommerce web development, custom integrations, platform migrations, app development, consulting, and ongoing support (“Services”). Specific deliverables, scope, and timelines are defined in separate proposals, statements of work, or contracts.
3. Client Responsibilities
a) The Client must supply all required information, assets, access credentials, and approvals promptly. Delays in providing requested items may impact delivery timelines and will not constitute a breach by Utyl Labs.
b) The Client must ensure they own necessary rights (domain, trademarks, content, etc.) used in the project.
4. Project Fees and Payment
a) Fees for Services are as described in the proposal or contract. All invoices must be paid according to the terms listed (e.g., 50% upfront, remainder on delivery).
b) If payment is not received by the due date, we may suspend Services until payment is received.
5. Intellectual Property
All code, designs, and deliverables produced remain Utyl Labs’ property until full payment has been received. Upon full payment, Utyl Labs grants the Client a non-exclusive license to use the deliverables for the intended purpose. Unless explicitly stated otherwise in the project contract, Utyl Labs retains the right to showcase work in portfolios and marketing.
6. Third-Party Software
Some projects include third-party software, plugins, APIs or services. The Client agrees to abide by the terms of any such third-party services and indemnify Utyl Labs from any claims arising from them.
7. Revisions and Scope Changes
Revisions included in a project are specified in the contract. Scope changes not included in the original proposal may require additional fees and a revised timeline.
8. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the engagement.
9. Warranties and Disclaimers
a) We warrant that Services will be provided using reasonable skill and care.
b) Except as expressly provided, services are provided “as-is” without any warranties — including performance, fitness for a particular purpose, or merchantability.
10. Limitation of Liability
To the maximum extent permitted by law, Utyl Labs’ liability for any claim related to these Terms will not exceed the total amount paid by the Client for the specific Services giving rise to the claim.
11. Termination
Either party may terminate services as outlined in the contract with written notice. Upon termination, the Client will pay for all work completed up to termination.
12. Changes to these Terms
We may modify these Terms & Conditions at any time. Continued use of services after changes constitutes acceptance of the updated terms.
